These Terms are a legal agreement between you and Midoki Limited (referred to as Midoki / us / we / our in these Terms). These Terms apply to the use of games and other products developed by Midoki Limited. The Terms set out how you may use the website https://www.midoki.com/ ("Website"), our apps or any games, products, forums and services we offer through our apps or otherwise on any platform (all collectively referred to in these Terms as our "Services"). Please read these Terms carefully.

A. Midoki General Terms & Conditions

1. Who is Midoki?

Midoki Limited is a company registered at One Eastwood Harry Weston Road, Binley Business Park, Coventry, West Midlands, CV3 2UB. We are a company registered in England with company number 07882357. Our contact details are set out in "How can I contact you?" below.

2. Why should you read these Terms?

You should read these Terms because they contain our legal commitments to you and a number of DOs and DON'Ts which you need to be aware of when you use our Services. Please read these Terms carefully to make sure you understand them. By using our Services, you agree to accept and be legally bound by these Terms. If you do not agree with the Terms, you should not access or use our Services.

3. Can Midoki change these Terms?

We can update and change these Terms from time to time and the most current version of these Terms will be posted onto the Website and relevant apps and you may be invited to review and accept the revised Terms in order to continue using the Services. You can print and save a copy of these Terms for your future reference.

4. What do I need to do with my log-in details?

If you have dedicated log-in details (i.e. you register for our Services and are not logging in through a third-party service such as Facebook) you need to keep them safe! You are responsible for maintaining the confidentiality of your log-in details including any user name, email address and password and you are also responsible for all activities that are carried out under your account. We would also recommend that you regularly change your password, and do not use the same email and password combination for any other online service.

Fair gameplay is important to Midoki. You therefore agree not to share your user name and password with any other user or third-party, or knowingly carry out any activity which enables a third-party to access or use your account. If we believe, acting in our discretion, that your account is used by more than one person, we reserve the right to suspend or terminate or cease to support your account without liability.

We cannot check the identities of people using our Services and will not be liable if your log-in details are used by someone else. If you become aware of any unauthorised use of your log-in details, you should notify us immediately here. Please be alert for other websites and services which may pretend to be us or to be associated with us. If in doubt, please contact us here.

5. How do I close my account?

6. What am I not allowed to do when using the Services?

You agree to follow the following rules ("the Rules"). You agree that you will not post, distribute, or otherwise make available or transmit any data, text, message, graphic or computer file that we believe:

We strictly do not allow the making of threats or the use of any abusive, vulgar, profane or hateful language towards Midoki’s staff or any partner company’s staff. Where we believe you have violated these Terms, we may suspend or terminate your account and may forward communications to the appropriate law enforcement bodies.

You may be warned, temporarily banned or permanently banned if we think that you have not followed the Rules or these Terms. In such circumstances, Midoki is entitled to remove any Virtual Items from your account without any refund or compensation.

If you believe that another user is violating these Rules, please let us know here.

We reserve the right to remove, or refuse to post, any material that we believe is in violation of these Rules and to cooperate with law enforcement authorities when necessary.

7. Who owns the content made available through the Services?

All content and information contained in the Services (including the games) are owned or licensed by Midoki and are protected by intellectual property rights. This includes, but is not limited to: source and object code, trademarks, logos, graphics, photographs, videos, animations, and texts. All names, titles, logos and designs containing Midoki are exclusively owned by us.

You are not allowed to use any of the content unless expressly permitted by these Terms or by us. You may not reverse engineer, decompile, or modify any part of the Services.

When you submit your own content ("User Content") to the Services, you grant Midoki a perpetual, non-revocable, worldwide, non-exclusive, royalty-free license to use, distribute, display and create derivative works of that content in connection with the Services.

8. What is Midoki not responsible for?

We do not guarantee that the Services will always be available, secure or error-free. There may be periods when the Services are unavailable due to maintenance or technical issues. We are not liable for any loss or damage that results from the unavailability of the Services or from other users’ actions.

9. What happens if I buy or download a Midoki game through an app store?

If you download a Service on your mobile device, you may be asked to agree to the app store’s terms and conditions, which will apply in addition to these Terms. Any billing or transactions will be handled by the app store provider.

10. What should I do if someone has made an unauthorised charge on my account?

Midoki is not liable for any unauthorised charges on your account. If you believe an unauthorised charge has been made, please contact your bank or the relevant payment provider. Midoki currently works with major payment providers as outlined on our Website.

11. Is Midoki responsible for third-party websites or content?

On certain pages you may find links to third-party websites or content. These links are provided solely for your convenience and do not imply any endorsement by Midoki. We are not responsible for the content or privacy practices of any third-party websites.

12. Is Midoki responsible for third-party advertising?

Midoki does not control or endorse third-party advertising that may appear on the Services. Any issues with third-party adverts should be addressed directly with the advertiser.

13. What do I do if I think my work is available on any Services but I did not give permission to show it?

If you believe that your work is being used without your permission, please contact us immediately so we can investigate the matter.

14. What happens if I am not happy with these Terms or the Services?

By using our Services you agree to be bound by these Terms. If you do not agree with these Terms, you should not use our Services. We will work with you to resolve any disputes, but any legal proceedings must be brought within England.

The Services are intended for personal, non-commercial use only. You are not permitted to assign or transfer any rights under these Terms to any third party. If any part of these Terms is found to be invalid or unenforceable, it will be amended or removed without affecting the remainder of these Terms.

17. Do I have to be a certain age to use the Services?

The Services are not directed at children. For some Services you may need to register and should be at least 13 years old.

18. Sunset

What happens when a game is shut down? From time to time, we may decide to cease publishing one of our games and remove it from all platforms. We will provide reasonable notice before the Sunset Date and advise you to stop making any in-game purchases.

19. Bots

In some cases, bots may be used in our games to ensure smooth gameplay when there are no real-time players available or due to technical constraints. This is standard practice in real-time multiplayer games.

B. Midoki Virtual Items Terms and Conditions

Please read these terms and conditions ("Virtual Items Terms") carefully before purchasing any virtual items, benefits, upgrades, unlockables, cosmetics, skins, gameplay features, or in-game currency ("Virtual Currency") available through our Services. By purchasing any Virtual Items, you agree to be bound by these Virtual Items Terms in addition to these Terms. In the event of any conflict, the Virtual Items Terms shall apply.

1. When do these Virtual Items Terms apply?

These Virtual Items Terms cover your purchase and use of Virtual Items. If a game offers more than one type of in-game currency, each may be subject to its own terms.

Virtual Items can only be used in accordance with these Terms within the game account in which they are purchased or acquired.

These Virtual Items Terms also apply if you win or are given any Virtual Items through gameplay features, competitions, surveys, or marketing campaigns.

2. Where can I buy Virtual Items?

Some games allow you to purchase Virtual Items through an in-game shop or via the Website. Please note that if you purchase Virtual Items through an app store, additional terms and conditions from the app store will also apply.

3. I am ready to buy Virtual Items – what do I need to do?

To purchase Virtual Items, follow the steps provided in the game or on the Website. If you experience difficulties, please contact us here.

4. Can I transfer Virtual Items between app and website accounts?

Generally, no. In most cases, Virtual Items purchased on one platform will not appear on another unless explicitly linked.

5. How do I use my Virtual Items?

Virtual Currency can be used to purchase other Virtual Items within the game. The appropriate amount will be automatically deducted from your account.

The nature and duration of Virtual Items may vary. Some may be single-use or conditional.

Midoki reserves the right to change or restrict Virtual Items without notice.

6. What am I not allowed to do with my Virtual Items?

By purchasing Virtual Items, you agree not to transfer them between accounts, or attempt to bypass game rules for transferring credits.

You are prohibited from selling or otherwise transferring your account or any Virtual Items.

When you buy Virtual Items, you are granted a limited, revocable licence to use them. Virtual Items do not constitute personal property and are non-refundable. No interest is paid on any Virtual Currency balance.

Midoki may withdraw, replace, or change Virtual Items at any time.

Your legal rights remain unaffected by these terms.

If disputes arise, you may refer them to the EU's Online Dispute Resolution platform at this link.

8. Can I cancel my order once I have bought my Virtual Items?

By purchasing Virtual Items, you acknowledge that they are delivered immediately and that you lose any right to cancel your order within the applicable cooling-off period.

9. What happens to my Virtual Items if my account is temporarily or permanently terminated?

If your account is suspended or terminated due to fraud, breach of these Terms, or inactivity (3 years), any Virtual Items in your account may be removed without reimbursement.

10. What do I do if I have not received my Virtual Items?

In busy periods, Virtual Items may take up to 48 hours to appear in your account. If you have not received your Virtual Items after this period, please contact us here.

11. What should I do if someone has made an unauthorised purchase on my account?

You are responsible for the security of your account. Midoki is not liable for unauthorised purchases. Please contact your bank or the relevant payment provider if you suspect fraudulent activity.

12. What is Midoki not responsible for?

We are not responsible for losses caused by unauthorised access, misclicks, third-party actions, or any issues arising from the use or interruption of Virtual Items, including indirect or consequential losses.

13. Who do I contact regarding purchases of Virtual Items in Facebook Messenger?

Purchases made via Facebook Messenger are subject to Facebook's terms and conditions. Please contact Facebook for any related issues.

C. Midoki Subscription Terms and Conditions

1. When do these Subscription Terms and Conditions apply?

Some of our Services offer Subscriptions for ongoing access to premium content and Virtual Items. These terms apply to all such Subscription purchases.

Subscriptions are automatically recurring payments that continue until cancelled. Fees are charged at the start of each Subscription Period. App store terms will also apply if you purchase through an app.

A Subscription is automatically renewed at the end of each Subscription Period unless you cancel at least 24 hours before the expiry of the current period. If you do not cancel in time, the fee for the next period will be charged within 24 hours before expiry.

If payment cannot be processed, your Subscription will resume once valid payment details are provided. Cancellation only applies to future Subscription Periods.

3. What is a trial period?

Some Subscriptions offer a free trial period. At the end of the trial, the Subscription automatically converts to a paid Subscription unless cancelled. Any unused trial period is forfeited upon activation of a paid Subscription.

4. Can I cancel my order once I have bought a Subscription?

You cannot cancel the Subscription for the current period, as it activates immediately upon purchase. You may cancel for the next period by following the instructions below.

5. How can I cancel a Subscription?

You can cancel your Subscription at any time in your device’s Account Settings. For iOS, please see Apple’s support page. For Android, please see Google Play’s support page.

6. What happens when my Subscription ends?

Upon expiration of your Subscription, you will immediately lose access to any Subscriber-only benefits, including exclusive Virtual Items.

7. Are Subscription fees refundable?

No. Except as required by law or at our sole discretion, paid Subscription fees are non-refundable.

8. Can Subscription fees change?

We may change Subscription fees at our discretion. Any fee change will take effect at the start of the next Subscription Period, and you will be given reasonable notice. If you disagree with the change, you may cancel your Subscription for the upcoming period.

9. Can Subscription content change?

Yes, the rewards and perks of a Subscription may change at our discretion.

10. Why do I still see advertising when I purchase a "remove ads" Subscription?

Some advertising types (such as rewarded video ads) are not removed by Subscription benefits. Only advertising specified as removed in the Subscription details will be affected.

11. Why has my payment card been charged before payment is due?

Payment processing is handled by third-party distributors (such as Apple’s App Store or Google Play). They may place an authorisation hold on your card before the actual charge is made.

12. I have an issue with my Subscription. Who do I contact?

For payment or billing issues, please contact the relevant app store or distributor. For other issues, please contact us here.

D. Midoki Prize Promotions

Midoki may run prize promotions (“Prize Promotion”). These Promotion Terms govern the rules of any Prize Promotion and take precedence over any other communications.

1. Prize Promotion. The Prize Promotion will run from the start date until the closing date specified in the announcement. All times are in Coordinated Universal Time (UTC) unless stated otherwise. Late entries will not be accepted.

2. Prizes. The Prize is non-exchangeable, non-transferable, and no cash alternative is offered. Midoki reserves the right to replace the Prize with an alternative of equal or greater value at its discretion.

3. Prize Draws. For Prize Promotions based on a draw, winners will be chosen randomly either by computer or under supervision.

4. Prize Competitions. For competitions, winners will be selected by an independent judge or panel. The names of the judges are available on request. If the competition requires submission of content, you warrant that your content is original and does not infringe any third-party rights. By submitting, you grant Midoki permission to use your content for promotional purposes.

5. Notification. Winners will be notified via the social media account used to enter or via provided contact details. Instructions to claim the Prize will be given. If a winner does not respond within 48 hours, their Prize may be forfeited.

6. General. By entering, you agree to be bound by these Promotion Terms. All entrants must be at least 18 years old and provide proof of age if requested.

7. Subject to applicable law, Midoki reserves the right to cancel, replace, or amend any part of a Prize Promotion at its sole discretion.

8. If you enter a Prize Promotion via a social networking site, you must comply with that site's terms and privacy policy. Midoki is not affiliated with or responsible for such third-party platforms.

9. By participating, you agree that your social media profile and any data we hold about you may be used solely for the purposes of administering the Prize Promotion in accordance with our Privacy Policy.

10. Midoki will provide evidence of a valid award upon request. If you object to the publication of your surname or details, please contact us at info@midoki.com.

11. Midoki accepts no responsibility for any losses or damages arising from participation in a Prize Promotion.

12. This Prize Promotion is governed by the laws of England and Wales and any disputes will be subject to the exclusive jurisdiction of the courts of England.
